1. Who these Terms are between
These Terms and Conditions ("Terms") are an agreement between you and The Business of Hope, a general partnership co-owned in equal (50/50) shares by Matthew Harless and Ashley Chancellor, operating from 909 Marion Ave, Covington, Indiana 47932 ("we," "us," "our"). They govern your use of our website at hopeassessment.org, the Hope Assessment app, our shop, and any coaching, cohort, or organizational services we offer ("Services").
By using any of the above, you agree to these Terms. If you don't agree, please don't use the Services.
2. What we offer
The Business of Hope provides:
· The Hope Assessment app — a free, self-directed 0–10 daily check-in tool for healthcare workers, hosted at a pplx.app subdomain and linked from hopeassessment.org.
· Educational content — blog posts, essays, and free resources published on hopeassessment.org.
· Physical products — stickers, signed books, and team packs sold through our shop.
· Services — coaching sessions, cohort programs, and organizational pilots when offered.
We may add, remove, or change what we offer at any time.
3. Important disclaimer — the Hope Assessment is not medical care
Read this carefully. It applies to every part of what we do.
The Hope Assessment, the "Hope Score," the "Operational Hope" framework, and everything we publish are educational and self-reflection tools, not medical, psychological, psychiatric, or clinical services.
· We are not a healthcare provider. Using our Services does not create a clinician-patient relationship, a therapist-client relationship, or any other professional care relationship.
· Our content is not a substitute for professional medical, mental-health, or emergency care.
· The Hope Assessment does not diagnose any condition. A score of 0 is a flag to seek help, not a diagnosis of crisis.
· HIPAA does not apply to information you enter into the app or share with us, because we are not a covered entity or business associate under HIPAA. See our Privacy Policy for how we handle information.
· Any decision about your health, work, or safety is yours alone.
If you are in crisis or thinking about harming yourself: call or text 988 (Suicide and Crisis Lifeline, U.S.) or dial 911. Outside the U.S., contact your local emergency services.
You use the Services entirely at your own risk. To the fullest extent allowed by law, we disclaim any liability for decisions you or anyone else makes based on the Hope Assessment, our content, or our Services (see Section 13).
4. Who can use the Services
You may use the Services only if:
· You are at least 16 years old, and
· You can form a binding contract under the law of your jurisdiction.
If you're using the Services on behalf of an organization (a hospital, unit, residency program, school, or employer), you represent that you have authority to bind that organization to these Terms.
We do not knowingly allow anyone under 16 to create an account or place an order. If you believe a minor has done so, email matt@hopeassessment.org and we'll remove the account.
5. Your account (Hope Assessment app)
You can use the Hope Assessment app without an account. If you choose to create one:
· Provide accurate information (a real email and a password you control).
· Keep your password secure. You're responsible for what happens under your account.
· Tell us at matt@hopeassessment.org if you suspect unauthorized access.
· We may suspend or delete accounts that violate these Terms, harass other users, or attempt to disrupt the Service.
· You can delete your account at any time by emailing matt@hopeassessment.org (see our Privacy Policy for retention details).
6. Acceptable use
When using our Services, you agree not to:
· Break any law, or use the Services to harm anyone.
· Impersonate another person or misrepresent your affiliation.
· Upload or transmit anything harmful, defamatory, harassing, hateful, obscene, or otherwise unlawful.
· Attempt to reverse-engineer, decompile, or scrape the site or the app.
· Overload, spam, or attack our infrastructure.
· Use our Services to build a competing product.
· Use our name, logos, or content to imply endorsement without written permission.
· Resell, sublicense, or commercially exploit the Services without a written agreement with us.
We may suspend or terminate your access if you violate any of the above.
7. Purchases (stickers, books, and bundles)
7.1 Order acceptance
When you place an order in our shop (powered by GoDaddy Online Store), you make us an offer. Your order is accepted only when we send an order-confirmation email. We may decline any order — for example, if a product is out of stock, if we can't ship to your location, or if we suspect fraud — and we'll refund any charge in full.
7.2 Prices and taxes
Prices are shown in U.S. dollars. Sales tax is added where required by law. We may change prices at any time, but the price on your confirmation is the price you pay for that order.
7.3 Payment
Payment is processed by our payment providers (including Google Pay and GoDaddy's payment processors). By ordering, you authorize us and our providers to charge your payment method for the full amount of your order, including shipping and tax.
7.4 Shipping, returns, and refunds
Shipping timelines, damage claims, and refunds are governed by our separate Shipping & Refund Policy, which is part of these Terms. In short:
· We ship U.S. only, from Covington, Indiana, via USPS.
· Damaged or lost items are replaced or refunded — email matt@hopeassessment.org with your order number and a photo.
· Signed books are non-returnable unless damaged (they're personalized).
· Coaching, cohort, and Unit Starter Kit calls are refundable up to 24 hours before the scheduled session; after that, we'll offer a one-time reschedule but no refund.
7.5 Bulk and organizational orders
Bulk packs (50-pack), Unit Starter Kits, co-branded packs, and Organizational Pilots may involve custom production, scheduling, or written agreements. Additional terms (including custom shipping timelines, artwork approval, and cancellation windows) will be in the order confirmation or a separate written agreement. If those terms conflict with these Terms, the specific written agreement controls for that order.
7.6 Chargebacks
If you dispute a charge with your card issuer without first contacting us to resolve the issue, we may suspend your account and refuse future orders. Please email us first — we resolve almost everything within a few days.
8. Coaching, cohorts, and organizational services
When we offer coaching sessions (like a Hope Debrief), cohort programs (like Hope Lab), or organizational pilots, additional terms apply:
· These are educational and coaching services — not therapy, counseling, or medical care (see Section 3).
· Sessions are typically delivered by Zoom or another video platform we specify at booking.
· You are responsible for showing up on time. If you miss a scheduled session without notice, we count it as delivered and no refund is due.
· Recordings, workbooks, and other materials we share are licensed to you for your personal use (see Section 9). You may not redistribute them.
· For organizational pilots, a separate written agreement will spell out scope, pricing, deliverables, confidentiality, and IP terms. If those terms conflict with these Terms, the written agreement controls for that engagement.
9. Intellectual property
9.1 Our content
Everything on hopeassessment.org and in the Hope Assessment app — including the names "The Business of Hope," "Hope Assessment," "Hope Score," "Operational Hope," "Hope-Informed Care," and "The Harless Method," along with our text, logos, graphics, images, videos, book content, sticker designs, and app design — is owned by us or our licensors and is protected by copyright, trademark, and other laws.
9.2 Your license to use our content
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to view, download (where a download button is provided), and print our content for your own non-commercial use. You may not:
· Copy, reproduce, or republish our content on another site, in a book, or in a course without written permission.
· Remove any copyright or trademark notice.
· Use our name, logos, or category language ("Operational Hope," "Hope-Informed Care," etc.) to imply we endorse a product, program, or organization we haven't endorsed in writing.
9.3 Books, stickers, and physical products
When you buy a book or sticker, you own the physical copy. You do notown the copyright to the content inside. Bulk resale of our books, stickers, or bundles without a written agreement is not permitted.
9.4 Your submissions
If you send us feedback, suggestions, testimonials, or story submissions (through the contact form, email, LinkedIn, or otherwise), you grant us a worldwide, royalty-free, perpetual license to use, edit, and share them, with attribution if you provide a name. You promise your submission is your own work and doesn't violate anyone else's rights. Don't send us confidential material you don't want us to use.
9.5 Copyright complaints (DMCA)
If you believe content on our site infringes your copyright, email matt@hopeassessment.org with the subject line "DMCA Notice" and include: (a) your contact info, (b) a description of the work you claim is infringed, (c) the URL of the infringing content, (d) a statement that you have a good-faith belief the use is unauthorized, (e) a statement under penalty of perjury that your notice is accurate and you're authorized to act, and (f) your physical or electronic signature.
10. Third-party links and services
Our site and the app link to third-party services — GoDaddy (hosting and shop), Google (Analytics, reCAPTCHA, Google Pay), Perplexity (app hosting), USPS (shipping), Amazon (where our books are also sold), LinkedIn, YouTube, Facebook, Instagram, Substack, and others. We don't control those services and aren't responsible for their content, privacy practices, or terms. Your use of a third-party service is governed by that service's own terms.
11. Emails, texts, and marketing
· Transactional emails (order confirmations, shipping notices, account emails, appointment reminders) — we send these when you interact with us. You can't opt out of these while you have an active account or order.
· Marketing emails (blog, newsletter, product announcements) — we send these only if you opt in. Unsubscribe anytime using the link at the bottom of any marketing email.
· Text messages — we don't currently send marketing texts. If we ever do, we'll ask for opt-in first.
12. Changes to the Services or Terms
We may change, suspend, or discontinue any part of the Services at any time. We may update these Terms too. When we make material changes, we'll update the "Last updated" date at the top and, if the change is significant, we'll let you know by email or a notice on the site. Continuing to use the Services after changes means you accept the updated Terms.
13. Disclaimers
To the fullest extent allowed by law:
· The Services are provided "as is" and "as available", without warranties of any kind — express, implied, statutory, or otherwise — including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or availability.
· We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
· We do not warrant any specific outcome from using the Hope Assessment, reading our books, or participating in our coaching or cohorts. Your Hope Score is a self-reflection tool, not a prediction.
· Any advice or information you obtain from us, whether oral or written, does not create any warranty beyond what these Terms explicitly say.
Some U.S. states don't allow certain disclaimers, so parts of this section may not apply to you.
14. Limitation of liability
To the fullest extent allowed by law:
· We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost goodwill, or personal injury, arising from or related to your use of the Services — even if we've been advised such damages are possible.
· Our total liability to you for any claim arising from or related to the Services will not exceed the greater of (a) the amount you paid us for the specific product or service that gave rise to the claim in the 12 months before the claim, or (b) $100.00 USD.
· This limitation applies whether the claim is based on contract, tort, statute, or any other theory of liability.
Some U.S. states don't allow certain limitations, so parts of this section may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless The Business of Hope, Matthew Harless, Ashley Chancellor, and any contractors or service providers acting on our behalf, from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to:
· Your use of the Services,
· Your violation of these Terms,
· Your violation of any law or the rights of a third party, or
· Any content you submit to us.
We reserve the right to take over the defense of any matter for which you are required to indemnify us. You agree to cooperate with our defense.
16. Termination
You can stop using the Services at any time and delete your account by emailing matt@hopeassessment.org.
We can suspend or terminate your access to any part of the Services at any time, for any reason, including if we believe you've violated these Terms. Sections that by their nature should survive termination — including Sections 3, 9, 13, 14, 15, 17, 18, and 19 — will survive.
17. Governing law and dispute resolution
17.1 Governing law
These Terms are governed by the laws of the State of Indiana, USA, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17.2 Informal resolution first
Before filing any formal claim, please email matt@hopeassessment.org with "Dispute" in the subject line and describe the problem. We commit to trying to resolve it in good faith within 30 days.
17.3 Venue
If we can't resolve a dispute informally, any lawsuit or proceeding must be brought exclusively in the state or federal courts located in Fountain County, Indiana (or the nearest court of competent jurisdiction), and you and we consent to personal jurisdiction and venue there.
17.4 No class actions
To the fullest extent allowed by law, disputes will be brought only in an individual capacity, not as a class or representative action.
18. Miscellaneous
· Entire agreement. These Terms, together with our Privacy Policy and Shipping & Refund Policy, are the entire agreement between you and us about the Services. They replace any prior agreements about the same subject.
· Severability. If any part of these Terms is found unenforceable, the rest still applies.
· No waiver. If we don't enforce a right, that doesn't mean we waive it.
· Assignment. You can't assign these Terms without our written consent. We may assign them to a successor entity (for example, if the partnership converts to an LLC).
· Force majeure. We're not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, pandemics, carrier delays, service-provider outages, or acts of government.
· Headings. Section headings are for convenience only and don't affect interpretation.
· Notices to us. Send legal notices to matt@hopeassessment.org and by mail to 909 Marion Ave, Covington, IN 47932.
· Notices to you. We may send notices to the email address on file for your account or order.
